May 2025
Thonburi Hospital officially opened its new eight-storey outpatient building (Building 8) under the concept “Hospital We Are Ready at Thonburi.” The new facility enhances the Hospital’s capacity and improves the overall patient experience, supporting patient retention and repeat visits in line with the Hospital’s objectives of providing high-quality care with convenient access at a reasonable price cost, while maximizing patient satisfaction.

June 2025
THG received approval from the Extraordinary General Meeting of Shareholders No. 1/2025 held on 9 June 2025 to undertake the following actions:
1. To reduce the registered capital by THB 84,746,740, from THB 932,214,140 to THB 847,467,400.

2. To increase the registered capital by THB 941,686,960 through the issuance of 941,686,960 new ordinary shares, resulting in total registered capital of THB 1,789,154,360, equivalent to 1,789,154,360 ordinary shares.

3. The waiver from the requirement to make a tender offer for all securities of the business by virtue of the resolution of the Shareholders’ Meeting (Whitewash), arising from the allocation and offering of newly issued ordinary shares of the Company through Private Placement, namely Ramkhamhaeng Hospital Public Company Limited

4.To offer newly issued ordinary shares via a Private Placement through Ramkhamhaeng Hospital Public Company Limited in the amount of 430,500,000 shares at an offering price of THB 8.65 per share, with a total offering value of THB 3,723,825,000.

5. To offer newly issued ordinary shares to existing shareholders on a pro rata basis (Rights Offering) in the amount of 511,186,960 shares at an offering price of THB 5.00 per share, with a total offering value of THB 2,555,934,800.

August 2025
THG received proceeds from the subscription of newly issued ordinary shares by Ramkhamhaeng Hospital Public Company Limited in the amount of THB 3,723,825,000, representing 430,500,000 shares. As a result, Ramkhamhaeng Hospital Public Company Limited’s shareholding in THG increased from 24.59% to 49.99% as of 22 August 2025. THG utilized the entire proceeds from the capital increase to fully repay borrowings from financial institutions.

September 2025
THG received proceeds from the Rights Offering to existing shareholders in the amount of THB 2,555,934,800, representing 511,186,960 newly issued ordinary shares, as of 24 September 2025. The Company utilized the proceeds in line with the objectives of the capital increase, including the repayment of borrowings from financial institutions, partial early redemption of debentures, and allocation as working capital.

October – November 2025
THG approved a capital increase in Thonburi Wellbeing through Rights Offering. THG subscribed to 409,999,994 newly issued ordinary shares in proportion to its shareholding, at a par value of THB 10 per share, totaling THB 4,100 million. The transaction was completed on 28 November 2025, resulting in THG maintaining its shareholding at 99.99%. Thonburi Wellbeing Company Limited utilized the entire proceeds to fully repay intercompany loans owed to THG.

November 2025
Trang Vejakij Company Limited (Thonburi Trang Hospital)
opened its Radiology Center on 17 November 2025.

December 2025
THG resolved to dissolve its wholly owned subsidiary, Thonburi Partners Pte. Limited , in which THG held a 100% shareholding with a registered capital of SGD 1,000,000, on 29 January 2025. The dissolution was completed and officially registered on 18 December 2025.

THG approved a capital increase in its subsidiary, Thonburi Bamrungmuang Hospital, through a rights offering to existing shareholders. THG subscribed to 460,001,900 newly issued ordinary shares in proportion to its shareholding, at a par value of THB 5 per share, totaling THB 2,300,009,500. The transaction was completed on 22 December 2025, increasing THG’s shareholding from 95.14% to 98.26%. Thonburi Bamrungmuang Hospital utilized the entire proceeds to fully repay intercompany borrowings owed to THG.

May – December 2025
THG resolved to dissolve its subsidiary, Telehealth Care Company Limited, in which THG held an 85% shareholding with paid-up capital of THB 50,000,000, on 13 May 2025. The Extraordinary General Meeting of Shareholders of Telehealth Care Company Limited approved the dissolution on 22 December 2025, and the dissolution was completed and officially registered on 26 December 2025.

January 2024
THG resolved to increase the capital of its subsidiary, TH Health Co., Ltd., from THB 21 million (210,000 ordinary shares at a par value of THB 100 each) to THB 41 million (410,000 ordinary shares at a par value of THB 100 each). This was achieved through the issuance of 200,000 new ordinary shares at a par value of THB 100 per share, all of which were allocated to third parties. As a result, THG’s ownership interest decreased from 100% to 51.22%.

Lantavejjakij Co., Ltd. (in which THG indirectly holds shares through Trangvejjakij Co., Ltd.) approved a capital increase from THB 45 million (4,500,000 ordinary shares at a par value of THB 10 each) to THB 100 million (10,000,000 ordinary shares at a par value of THB 10 each).

February 2024
THG registered a capital increase in Romburi Rangsit Hospital Co., Ltd. from THB 1 million (10,000 ordinary shares at a par value of THB 100 each) to THB 10 million (100,000 ordinary shares at a par value of THB 100 each) by issuing 90,000 new ordinary shares at a par value of THB 100 each. However, other shareholders waived part of their rights to the newly issued shares. THG subsequently exercised its right to purchase the unsubscribed shares, resulting in an increase of its ownership interest from 30% to 55%.

May 2024
THG issued name-registered, unsubordinated, and unsecured debentures guaranteed by the Credit Guarantee and Investment Facility (CGIF), comprising two series, with a total value of THB 1,700 million. The debentures were offered to institutional and high-net-worth investors, and THG received THB 1,700 million on May 30, 2024. The debenture issuance had been approved by the resolution of the Annual General Meeting of Shareholders No. 1/2024 held on March 6, 2024, which authorized debenture issuance and offering in a total amount not exceeding THB 4,000 million.

August 2024
The subsidiary Thonburi Partners Pte. Limited, incorporated in Singapore in December 2023 with the objective of acting as a holding company, is wholly owned by THG. Between May 2024 and July 2024, THG paid up capital contributions of SGD 1 million into the subsidiary. The registration with the Accounting and Corporate Regulatory Authority (ACRA) was completed in August 2024.

January 2023
THG established a subsidiary, Telehealth Care Co., Ltd., with the objective of operating a healthcare and telemedicine business by utilizing technology to support the company’s operations. The subsidiary was incorporated with registered capital of THB 200 million (20,000,000 ordinary shares at a par value of THB 10 each). THG holds 85% equity interest in the subsidiary. Of the registered capital, 25% was called up, and THG has paid in the amount of THB 42.50 million.

June 2023
THG approved an increase of its investment in Thonburi Rangsit Hospital Co., Ltd., raising its ownership stake from 30% to 55%. This will change THG’s investment status in Thonburi Rangsit Hospital Co., Ltd. from an associate to a subsidiary upon the next capital increase, which is scheduled to take place in 2024.

August 2023
THG increased the capital of its subsidiary, TH Health Co., Ltd., from THB 1 million (10,000 ordinary shares at a par value of THB 100 each) to THB 21 million (210,000 ordinary shares at a par value of THB 100 each) by issuing 200,000 new ordinary shares at a par value of THB 100 each.

September 2023
THG approved a capital increase of its subsidiary, Thonburi Sermrath Co., Ltd., from THB 100 million (10,000,000 ordinary shares at a par value of THB 10 each) to THB 113.3 million (11,330,000 ordinary shares at a par value of THB 10 each) through the issuance of 1,330,000 new ordinary shares at a par value of THB 10 each. THG waived its rights to subscribe to the newly issued shares, resulting in a decrease of its ownership interest from 99.98% to 88.24%.

December 2023
THG established a subsidiary, Thonburi Partners Pte. Limited, in Singapore with the objective of acting as a holding company. THG holds 100% equity interest in this subsidiary. As of 31 December 2023, no share capital has yet been called up.
